Marvell and Lumentum announced a definitive all-stock acquisition agreement on November 2. Lumentum shareholders would receive 4.5 Marvell shares for each Lumentum share. The companies described an implied enterprise value of approximately $115 billion at announcement, a figure tied to the transaction’s valuation assumptions rather than fixed cash consideration.
An equity-funded combination
The industrial thesis is to combine optical components and systems with electrical connectivity and custom silicon for AI infrastructure. Ownership could align investment and product planning across that stack. It also places integration of manufacturing, engineering and customer relationships inside one larger organisation.
The industrial logic and execution risk
Potential synergies are forecasts. Their realisation depends on execution without disrupting product qualification or supply to existing customers. The exchange ratio also means the value received moves with Marvell’s share price rather than remaining a fixed acquisition price.
Milestones before the thesis is proven
The announced closing expectation is the first half of 2028, subject to shareholder and regulatory approvals and other conditions. Approval progress, integration commitments and subsequent product delivery will be more useful tests of the investment thesis than treating the announced combination as a completed consolidation.
