TeraWulf entered into three credit-support agreements with Google and project counterparties on November 4. They relate to Anthropic’s previously announced 20-year leases for approximately 401 MW of critical IT load in Kentucky. This is a new support mechanism for an existing development commitment.

Credit support changes the financing structure

The agreements activate separately when the final data hall under each covered lease commences. If defined defaults occur, Google may assume the lease or, in certain circumstances, pay a termination fee. Under the latter route, the filing says Google would be entitled to acquire an equity interest in the project subsidiary Raylan.

Remedies include a potential equity outcome

The structure can make the tenant commitment more financeable by introducing an additional counterparty for specified obligations. The economic effect depends on activation dates, remedies and termination conditions. The backstop can end after qualifying investment-grade ratings are maintained for at least three months.

Contracted capacity still needs delivery

Delivery is expected in phases from late 2027 through the second quarter of 2028. Financing terms and completed construction remain separate milestones. Future disclosures on funding, capital expenditure and accepted data halls will show how the risk-sharing arrangement supports execution.
