Agility Robotics is approaching a financing event that could support the next phase of its humanoid business. Its October 30 update also shows why a single gross-proceeds figure needs to be separated into cash already received and money still dependent on closing.

The company announcement estimates approximately $465 million before transaction expenses: roughly $164 million from Churchill XI’s trust, $201 million from a committed common-stock PIPE and $100 million of equity already received. The proposed combination remains subject to a November 2 shareholder vote and closing conditions.

Gross proceeds are not new cash at once

Agility expects a November 4 close and November 5 trading under AGLT. Those are scheduled outcomes, not completed events as of this article. The gross estimate should not be described as net proceeds, nor should the previously received equity be counted again as newly closed funding.

The company says the capital supports commercial expansion. It also describes Digit 5 early-access deliveries in the first half of 2027 and general availability targeted for year-end 2027. That timetable means deployment and support spending can precede broad product availability.

Orders need their own timeline

Agility’s release describes more than $300 million in committed multi-year Digit 5 orders, while explicitly stating that this is potential value subject to milestones and specifications, not current-period revenue. Financing capacity and order value therefore belong in separate parts of the assessment.

If the transaction closes, Agility will have more resources to execute those plans. The decisive next evidence is the actual closing disclosure, including expenses and proceeds, followed by product deliveries and recognized commercial activity against the announced schedule.
